将加密资产带回美国：SEC 的新时代
🔴尽管 SEC 过去的立场是将多数加密资产视为证券，但实际上，大多数加密资产并非证券。

Project Crypto 是 SEC 主席 Paul Atkins 在《American Leadership in the Digital Finance Revolution》演讲中宣布的全委员会级计划，旨在全面修订证券规则，支持美国资本市场“上链”，并配合特朗普政府把美国打造成全球加密资产中心。
2️⃣五大核心行动路径
发行与合规框架——“把发行迁回美国”
制定“明线”标准区分证券型与非证券型加密资产，配套豁免、披露与安全港（含 ICO、空投、网络奖励），减少企业被迫出海或伪装去中心化的现象。
托管与交易——扩大自托管与机构托管选项
更新 Broker-Dealer、RIA 等托管规则，消除先前 SAB 121 等障碍，让投资者可自由选择自托管或受监管托管，提升市场流动性。
“Super-App” 牌照——同一平台可并行交易证券与非证券代币
允许合规交易所/ATS 在一张牌照下同时提供传统证券、加密证券和大宗非证券加密资产交易、质押、借贷等服务，减少重复监管成本。
链上基础设施——更新 Reg NMS 等旧规，拥抱 DeFi 与代币化证券
为自动做市商、无中介链上撮合等形态设立“可运行但受原则监管”的通道，推动传统资产代币化在美国落地。
创新豁免——“先行试点、原则守护”
计划引入创新豁免条款，让新业务模型可在满足原则条件（定期报告、白名单合规 Token 标准等）的前提下快速上市测试，再根据实践反馈细化规则。

SEC 将与 Crypto Task Force、总统数字资产市场工作组（PWG）协作，在年底前推送配套法规草案，并优先“回流”因过往“监管执法化”而外迁的加密企业。
