- Skyworks and Qorvo announced a $22B merger to create a top U.S. semiconductor entity, combining RF/analog strengths via cash-and-stock terms. - Qorvo shareholders get $32.50 cash + 0.96 Skyworks shares, expecting $500M+ annual cost synergies and $7.7B pro forma revenue. - The merger aims to compete with giants by uniting 8,000 engineers and 12,000+ patents, targeting growth in automotive, AI, and aerospace. - Shares surged post-announcement, but analysts caution on Apple dependency and market risks despi

Skyworks Solutions (SWKS) and

(QRVO) have revealed plans for a $22 billion merger, aiming to form one of the largest semiconductor companies in the United States by merging their expertise in radio frequency (RF) and analog technology. This cash-and-stock deal values the new entity at around $22 billion, with completion anticipated in early 2027, subject to regulatory and shareholder consent, according to the . Both companies saw their shares jump after the news, with Qorvo gaining 11% to reach $102.43 and increasing by 12.5% to $85.12, their highest in almost a year, .

According to the agreement, Qorvo shareholders will get $32.50 in cash plus 0.960 Skyworks shares for each Qorvo share they own. This arrangement will give Qorvo investors about 37% ownership of the merged company, while Skyworks shareholders will hold the remaining 63%, as stated in the Skyworks release. The merger is projected to deliver more than $500 million in annual cost savings within three years, mainly through streamlined operations and combined R&D. The unified company is expected to have a pro forma annual revenue of $7.7 billion and an adjusted EBITDA of $2.1 billion, based on an

The main strategic goal is to build a broader platform to better compete with larger chip manufacturers. The merger will bring together two companies with complementary product lines, including RF parts for smartphones, defense, and AI data centers. The combined workforce will include about 8,000 engineers and hold over 12,000 patents, boosting their ability to innovate in fast-growing sectors such as automotive, edge IoT, and aerospace, according to a

. Phil Brace, currently CEO of Skyworks, will head the new company, while Qorvo CEO Bob Bruggeworth will join the board, as reported by Investing.com.

The deal will be financed through a combination of cash on hand and debt, with Goldman Sachs committing $3.05 billion in financing for the cash portion, as mentioned in the Skyworks statement. Both firms posted strong preliminary financials ahead of the merger news. Skyworks reported adjusted earnings of $1.76 per share for its fiscal fourth quarter, beating expectations, while Qorvo delivered adjusted earnings of $2.22 per share and $1.1 billion in revenue, according to

. Analysts see potential for higher profitability, though some warn about the companies’ dependence on Apple and broader market uncertainties, as noted in an .

The merger has also attracted attention from major investors. Starboard Value LP, a significant Qorvo stakeholder, has agreed to back the transaction, and both boards have given unanimous approval, according to Investing.com. However, Mizuho downgraded Qorvo to "Underperform" before the announcement, citing worries about long-term growth, as reported by Investing.com. Despite this, the merged company is expected to immediately boost non-GAAP earnings per share and will focus on expanding U.S. manufacturing and increasing its share in advanced RF systems, according to the Newsable report.
